WARNER L. BAXTER has been Executive Vice President and Chief Financial
Officer of Ameren Corporation since 2003 and has been given the
additional responsibility of overseeing the company's corporate and
strategic planning activities. He was named Senior Vice President,
Finance in 2001, after joining Union Electric ' now part of Ameren
Corporation ' in 1995 as Assistant Controller. In 1996, Mr. Baxter was
promoted to Controller, and in 1998 he became Vice President and
Controller. In addition to his senior management duties as CFO of the
corporation, he has led development and implementation of several
strategic initiatives, including Ameren's response to the 2002 Missouri
retail electric rate case and to the recent acquisition of two Illinois
utility companies. Before joining Ameren, Mr. Baxter served as Senior
Manager in Price Waterhouse's St. Louis and National Office in New York
City. There, he provided auditing and consulting services to companies
in a variety of industries, helped formulate firm-wide accounting
positions, including those related to the public utilities industry, as
well as monitored the activities of various accounting standard-setting
bodies. Mr. Baxter earned a Bachelor of Science degree in Accounting
from the University of Missouri-St. Louis, graduating with honors. He is
a licensed Certified Public Accountant in the State of Missouri. Mr.
Baxter is a member of the Community Board of UMB Bank-St. Louis and
serves on the Board of Trustees for Wyman. He is President of the UM-St.
Louis Chancellor's Council and is a member of the American Institute of
Certified Public Accountants and the Missouri Society of Certified
