MICHAEL L. SMITH has been Executive Vice President and Chief Financial
Officer of Anthem since 1999. From 1996 to 1998, he served as Chief
Operating Officer and CFO of American Health Network, a former Anthem
subsidiary that provided physician practice management services to 270
wholly owned, primary care practices. Prior to joining Anthem, Mr. Smith
was Chairman, President and Chief Executive Officer of Mayflower Group,
Inc. from 1989 to 1995. Mayflower was a publicly traded, investor-owned
company that operated a worldwide relocation service. He held various
other management positions at Mayflower from 1974-1989. Mr. Smith
started his business career with the Indianapolis office of Arthur
Andersen & Co. in 1970. Mr. Smith is a Director of First Indiana
Corporation, a bank holding company and Finishmaster, Inc., an auto
paint distribution company. Mr. Smith also serves as a Director of
several charitable and civic organizations including the Legacy Fund of
