JIM W. HENDERSON has been President and Chief Operating Officer of Brown
& Brown, Inc.' since 2002 and serves as President or in another
executive officer capacity for several of its subsidiaries. He was
elected Executive Vice President in 1995, and served as Senior Vice
President from 1993 to 1995. He served as Senior Vice President of the
company's predecessor corporation from 1989 to 1993, and as Chief
Financial Officer from 1985 to 1989. A graduate of Florida State
University, BS and BA in Accounting, he was an Audit Supervisor with
Ernst & Whinney and then Senior Vice President and Treasurer of the
Ormond Reinsurance Group, prior to joining Brown & Brown. He has earned
the Chartered Property Casualty Underwriter (CPCU) and Certified Public
Accountant (CPA) designations. Mr. Henderson is a member of the Board of
Directors of Embry-Riddle Aeronautical University, the Business School
of Stetson University, and the Florida Hurricane Catastrophe Fund. He
previously served as co-Chairman of the Insurance Accounting & Systems
Association's Property & Casualty Committee, President of the Financial
Executive Institute of Central Florida, and as a member of the Board of
Directors of United Way of Volusia/Flagler Counties and the Ronald
