HANS HELMERICH is President, Chief Executive Officer and Director of
Helmerich & Payne, Inc., an energy-oriented company engaged in contract
drilling and oil and gas exploration and production. He joined the firm
in 1981 and has held his current positions since 1989. Mr. Helmerich
received a BS from Dartmouth College, with a major in Government. In
1985, he completed the Program for Management Development at the Harvard
Business School. Mr. Helmerich is active in a variety of business, civic
and charitable organizations. He currently serves as a Director of the
Federal Reserve Bank of Kansas City and is a Board Member of Atwood
Oceanics, Inc., the Indian Nations Council, Boy Scouts of America, and

DOUGLAS E. FEARS is Vice President, Finance and Chief Financial Officer
of Helmerich & Payne, Inc. He joined the company in 1986 as Manager,
Internal Audit and has held his current position since 1988. Mr. Fears
received a BBA from the University of Oklahoma and an MBA from the
Harvard Business School. He is a Certified Public Accountant and a
Chartered Financial Analyst. Mr. Fears is the President and Director of
Joseph's Storehouse, Chairman of the Board of Stand In The Gap, and
