GEORGE A. KELLNER is Managing Partner of KD Offshore Fund, C.V., and
Chief Executive Officer of Kellner, DiLeo & Co., a member firm of the
New York and American Stock Exchanges, which are private partnerships
specializing in securities arbitrage transactions. He is also the
Managing Partner of KD Equities, a private partnership engaging in
leverage buyouts, and Chairman of the Board of Childtime Learning
Centers, Inc. His non-professional affiliations include being Vice
Chairman of Phoenix House, a Trustee of Milton Academy, Bard College,
and a member of the Board of Advisory Council of the Department of
Economics at Princeton University. Mr. Kellner holds a BA from Trinity
College, a JD from Columbia Law School, and an MBA from the Leonard
