DICK JOHNSTON is a Member of the General Partner of Camden Partners
Strategic Fund II, L.P., joining Camden Partners in 2000. Previously, he
was Vice President ' Investments and a Director of The Hillman Company
where he was employed since 1961. Mr. Johnston was responsible for deal
origination and investor representative relations with numerous private
equity financings, including HBO Medical Care International and Rehab
Services among many others in health care, and in telecommunications
services, together with a variety of other investments in capital goods,
financial services and transportation. He also has managed marketable
securities portfolios and has originated and/or monitored limited
partnership holdings in numerous private equity funds. Mr. Johnston has
been an advisor to several private funds. He is a Director of SCCI
Healthcare and Webmedx in the health care sector; Director of Xypoint in
the telecommunication services sector; and Oregon Rail Holdings. He has
been Chairman of the Board of The Western Pennsylvania Hospital from
1979 to 1999, The Western Pennsylvania Healthcare System from 1984 to
2000, and the West Penn Allegheny Health System from inception in 2000.
Mr. Johnston earned a BS degree from Washington and Lee University and
an MBA from the Wharton Graduate School of the University of

DAVID WARNOCK is currently a Member of the General Partner of
Camden Partners Strategic Fund II, LP, and a co-Founder of Camden
Partners, Inc. Prior to founding the firm, Mr. Warnock was
President of T. Rowe Price Strategic Partners and Strategic
Partners II. He was also an Executive Vice President of the T.
Rowe Price New Horizons Fund. Mr. Warnock is a director of Blue
Rhino Corp., Concorde Career Colleges, Inc., Environmental
Safeguards, Inc., the School Company, Inc., and Touchstone
Applied Science Associates, Inc., and Children's Comprehensive
Services, Inc. He earned a BA from the University of Delaware and
an MS degree in Finance from the University of Wisconsin. Mr.

CHIP STELLJES is currently a Member of the General Partner of Camden
Partners Strategic Fund II, L.P., joining Camden Partners in 1999.
Previously, he was a Partner with Columbia Capital Equity Partners II,
L.P., a $450 million venture capital fund focused on investments in
communications and information technology. Prior to Columbia Capital,
Mr. Stelljes was an Executive Vice President and Principal of Allied
Capital Corporation. He served as the Director of Allied Venture
Partnership and Allied Technology Partnership; served as a member of
Allied's investment committee; and chaired its problem asset committee.
Mr. Stelljes serves on the boards of Dominion Digital Inc., Virginia
Capital, V Technologies International Corp., and as Chairman of the
Board of Visitors of the Bolles School. He was previously a Regional
President and Board Member of the National Association of Small Business
Investment Companies (NASBIC). He earned a BA from Vanderbilt University
and an MBA from the Colgate Darden Graduate School of Business
