Alan Henderson

ALAN HENDERSON was named President, Chief Executive Officer and Director
of RehabCare Group, Inc. effective June 1, 1998. Prior thereto, Mr.
Henderson held various positions as Executive Vice President and Chief
Financial Officer, Treasurer and Secretary of the Company from June 1991
through June 1998. He joined CompCare, the former parent company of
RehabCare, as Chief Financial Officer in February 1990 and also served
as Executive Vice President and Treasurer of CompCare until July 1991.
Mr. Henderson serves on the boards of various business and civic
organizations in the St. Louis, Missouri area. Mr. Henderson holds a BA
in Economics from Westminster College and an MBA from the Wharton School
of the University of Pennsylvania.
