Ernest L. Godshalk

VP and CFO, Ernest L. Godshalk joined Varian Associates as VP, finance
of the Semiconductor Equipment Business in 1998. Prior to joining the
company, he was managing director of Elgin Management Group (an
investment company), a position he held from 1993 to 1996 and again in
1998. Mr. Godshalk was chief financial officer and secretary of Prodigy,
Inc. from 1996 to 1998.
