NEIL DABNEY is co-founder and Managing Director of Dabney Flanigan, LLC,
an investment banking and brokerage firm with headquarters in Los
Angeles and offices in New York that specializes in high yield,
distressed and special situations investing. For the past 25 years, Mr.
Dabney has served in several management capacities with Dabney/Resnick,
Inc. a Beverly Hills Investment firm he co-founded, Drexel Burnham,
Oppenheimer & Co. and E.F. Hutton, where he started as a broker trainee
in 1975. In 1994, he co-authored a chapter on investing for two books:
'The New Era of Investment' banking and 'The New High Yield Bond
Market'. In eight years at Dabney/Resnick, Inc., Mr. Dabney served as
Chief Investment Strategist, Senior Portfolio Manager and Head of
Institutional and Retail Sales. He was also a member of the Corporate
Finance Commitment Committee and a Board member. During his tenure, the
company grew from six to 120 employees and diversified into distressed
California real estate and emerging markets corporate debt with Mr.
Dabney personally overseeing the day-to-day management of $100 million
of customer funds dedicated to high yield and distressed investing. He
holds many NASD licenses including: General Securities Representative,
General Securities Principal, Financial Operations Principal Municipal
Securities Principal, and Registered Options Principal. He has also
passed the Uniform Investment Advisor law Examination. Mr. Dabney is a
Trustee of the Brentwood School in Brentwood, California, a member of
the Board of trustees and Governor of the henry Kravis Leadership
institute at Claremont McKenna College in Claremont, California. He
received his Bachelor of Arts degree in Economics and Psychology in 1974

KELLEN MARIE FLANIGAN is President, CFO and CEO of Dabney Flanigan, LLC.
DF is a full-service investment bank and brokerage firm, which is
licensed and registered with the NASD and SIPC. Her primary role at the
company is the management of day-to-day operations, including the
company's financial affairs, business administration, marketing, public
relations and the recruitment of personnel. Ms. Flanigan is a member of
Dabney Flanigan's Executive committee and is head of the Corporate
Finance Commitment Committee. She holds many licenses with the NASD,
including all principal licenses. Currently she owns 88% of the company
and is in the process of selling 18% of the company to raise working
capital. Ms. Flanigan received Bachelors Degrees in International
Relations and Economics from the University of Southern California and
studied at the New York Institute of finance, 1987 - 1989, where she
attended for two years with the Drexel Burnham IST Training Program. She
studied portfolio analysis, financial accounting, fundamental and
technical analysis, and investment banking. Prior to starting Dabney
Flanigan, Ms. Flanigan worked directly with Neil Dabney and held the
title of vice president with Dabney/Resnick's Women's Financial Group.
This group focused on educating women in the area of finance and they
held seminars on a monthly basis with key financial speakers. She began
her career at Drexel Burnham Lambert in Beverly Hills as liaison between
the corporate finance group and the sales force. In 1987, Ms. Flanigan
spent two years in the New York Office at Drexel going through a two-
year sales training program. Her interests include: snow skiing, water
skiing, beach volley ball, scuba diving, photograph hunter-jumper
horseback riding, flying private single-engine airplanes (VFR License),
skeet shooting, sporting clays, trap shooting, fly fishing, golf, tennis
and paddle tennis. She has traveled extensively and is now enjoying most
of these hobbies with her children. Her memberships include: National
Association of Securities Dealers, National Association of Women
Business Owners, Pacific palisades Chamber of Commerce, Brentwood
Chamber of Commerce, Santa Monica Chamber of Commerce, Republican
National Committee, Scuba Association, Friends of marquez (Parents
helping kids in the educational arena), USC Alumnae Association and
