JOAN S. FREILICH was elected to the position of Executive Vice President
and Chief Financial Officer of Consolidated Edison, Inc., effective
March 1, 1998. She has been a member of the company's Board of Directors
since April, 1997. She previously served as Senior Vice President and
Chief Financial Officer, a position to which she was named in July 1996.
Ms. Freilich joined Con Edison in 1978 in the Central Customer Service
Department. Later, she served in positions of increasing responsibility
in Con Edison's General Accounting Department including Manager,
Accounting Research and Procedures. In 1982, she joined the Central
Operations group. In 1984, Ms. Freilich was promoted to Controller,
Power Generation Services. In 1986, she was named General Manager of
Power Generation's Resource Planning and Control Department. She was
named Executive Assistant to the President of Con Edison and
subsequently Assistant Vice President, Corporate Planning in 1989 and
Vice President, Corporate Planning in 1990. She became Vice President
and Controller in 1992 and Chief Accounting Officer in 1994. Before
joining Con Edison, Ms. Freilich held adjunct instructor positions at
Columbia University and the City College of New York, and she was an
instructor at the Walden School. Later, she served as Assistant to the
Dean of the College of New Rochelle and then as Director of Admissions
at that school. Ms. Freilich graduated magna cum laude from Barnard
College, and she holds a Master of Arts degree, a Master of Business
Administration degree and a Doctor of Philosophy degree in French
literature, passed with distinction, from Columbia University. She
completed the Advanced Management Program at INSEAD in Fontainebleau,
France. She was elected to Phi Beta Kappa and Beta Gamma Sigma honorary
societies, and received the Award for Excellence from the Columbia
