MICHAEL J. PROVENZANO, III, Vice President, Finance and Chief Financial
Officer of Davox Corporation, joined the company in November 1999 as
Corporate Controller, where he was responsible for managing the finance
and accounting departments, and spearheading all facets of finance
including budgeting; forecasting; financial statement preparation and
analysis; SEC reporting; and the development and facilitation of
corporate policies and procedures. Mr. Provenzano was appointed CFO and
Vice President of Finance in June 2000. Prior to Davox, Mr. Provenzano
gained a strong finance background at Arthur Andersen LLP as an
experienced audit manager in the high technology practice. There, he
worked in industries of expertise including high technology, e-commerce,
data networking, telecommunications, manufacturing, retail, and
professional services. During his seven-year tenure at Arthur Andersen,
Mr. Provenzano assisted clients in mergers and acquisitions, raising
venture capital debt and equity financing, negotiations, budgeting,
forecasting, and cash flow analysis. Davox was one of Mr. Provenzano's
principal clients while at Arthur Andersen. In addition, he worked on
various IPOs and assisted clients with preparation of SEC filings. Mr.
Provenzano holds a Bachelor of Arts degree from Merrimack College, where
he graduated magna cum laude. He is a member of the American Institute
of Certified Public Accountants and the Massachusetts Society of
