LOWELL W. GIFFHORN, Executive Vice President and CFO of Patriot
Scientific Corp., has more than 25 years of experience in strategic
corporate finance. He served as Acting CFO for PTSC in 1996 and joined
the company as CFO in 1997. In August 1999, Mr. Giffhorn was appointed
to PTSC's Board of Directors. Prior to joining PTSC, he was CFO of Sym-
Tek Systems, Inc. and Vice President of Finance for its successor Sym-
Tek Inc., a major supplier of capital equipment to the semiconductor
industry. At PTSC, Mr. Giffhorn was instrumental in securing favorable
financing that provided the company with $5 million in 1999 followed up
with an additional commitment for $30 million in 2001. With financing in
place, PTSC has been able to focus on innovation and bringing its

DAVID H. POHL, Vice President of Patriot Scientific Corp., has
experience that includes more than 30 years in legal and financial
arenas. As a Business Attorney and Senior Corporate Executive, he brings
broad experience afforded by positions as Senior Vice President, General
Counsel, Corporate Secretary, and head of corporate law departments for
billion-dollar financial services corporations in the former Security
Pacific and Gibraltar Financial corporate groups. He was a Senior
Attorney in the financial services division of the corporate practice
group of Jones, Day, Reavis & Pogue, one of the largest US law firms
with international offices and influence. Mr. Pohl was Special Counsel
to the Ohio Attorney General regarding statutory compliance of
entrepreneurial investments by state pension funds. His experience in
law and management, corporate mergers, legislation, lobbying, business
regulation, accounting policy, licensing and name protection makes Mr.
Pohl particularly well suited to help guide the company through the
